Tech Mahindra plans to increase its stake in Pininfarina to 92.59%

Tech Mahindra's subsidiary, PF Holdings B.V. (PFH), intends to acquire additional shares of the Italian automotive design company Pininfarina S.p.A. to raise its ownership stake to 92.59%. Previously, Tech Mahindra's subsidiary held 82.57 percent of Pininfarina.

According to a report filed by the company with the stock exchange system on Friday, PFH undertook an obligation to purchase 7.89 million ordinary shares, representing 10.02 percent of Pininfarina, for up to 9.46 million euros. This commitment was formalized on Thursday as part of a voluntary offer to buy up to 13.7 million ordinary shares, equivalent to 17.42 percent of the Italian company.

The share acquisition will be made at 1.20 euros per share via cash consideration. The deal is subject to obtaining the necessary approvals from the Presidency of the Council of Ministers of Italy and is expected to be completed no later than December 31, 2026.

Pininfarina aims for delisting

The proposed purchase comes against the backdrop of Pininfarina seeking exclusion from the listings of Borsa Italiana S.p.A. In its regulatory disclosure, Tech Mahindra stated that 'Pininfarina S.p.A. is seeking delisting from Borsa Italiana S.p.A., subject to compliance with applicable laws and regulations.'

Pininfarina is a joint-stock company established under Italian law, and its ordinary shares are listed on Euronext Milan, a regulated market managed by Borsa Italiana. The company is engaged in vehicle development, vehicle design, and engineering services.

Pininfarina's financial performance

According to Tech Mahindra's reporting, for the calendar year ending December 31, 2025, Pininfarina's consolidated revenue amounted to 102.7 million euros (948.01 crore Indian rupees), which is higher than the figure of 91.1 million euros (819.85 crore Indian rupees) in 2024 and 87.2 million euros (778.94 crore Indian rupees) in 2023.

Tech Mahindra's acquisition of Pininfarina

Tech Mahindra's investment in Pininfarina began back in December 2015. At that time, Tech Mahindra, together with Mahindra & Mahindra, agreed to purchase 76.06 percent of the Italian company's shares from Pincar S.r.l. at a price of 1.10 euros per share. This purchase was executed through PF Holdings B.V., a joint venture in which Tech Mahindra held 60 percent and Mahindra & Mahindra held the remaining 40 percent. PFH completed the acquisition in May 2016.

Sammaan Capital shareholder increases stake to 33.32% after warrant conversion

The shareholder Sammaan Capital, company Avenir Investment RSC Ltd, has increased its stake in the company to 33.32%, up from the previous 28.34%. This occurred after warrants worth approximately 906 crore rupees were converted into common shares, according to regulatory filings submitted on Friday.

The company's Securities and Investment Committee approved the allocation of 8.69 crore fully paid ordinary shares of Avenir at an issue price of 139 rupees per share on October 30. This decision was made after payment of the remaining 75 percent of the subscription amount for the warrants.

Previously, the shareholder was allocated 8.69 crore warrants dated March 31, 2026, as part of a preferential placement based on private placement. Each warrant granted the right to purchase one fully paid ordinary share with a nominal value of 2 rupees.

Following the completion of the conversion, Avenir continues to hold 21.98 crore warrants, which can be exercised in one or more tranches until or by September 30, 2027. Shapoorji Pallonji Group plans to raise up to $200 million to repay debts

Shapoorji Pallonji Group, an Indian conglomerate, aims to raise between $150 and $200 million USD due to the company's growing debt obligations.

According to available information, SP Group intends to raise funds through private lending by issuing additional rupee bonds. These bonds will initially be sold by the Eqyizen Investment Pvt. division in July. Approximately half of the funds raised will be directed towards repaying debts to creditors Porteast Investment Ltd., another SP Group subsidiary. The remaining funds will be used to service other group debts. Sources added that negotiations are in the early stages, and the final size and terms may change.

The new financing will help SP Group reduce Porteast's liabilities and lessen the pressure on its debt-to-asset ratio. Representatives of SP Group did not immediately respond to requests for comment.

The conglomerate is facing increasing strain due to approaching debt repayment deadlines and the prolonged wait for asset monetization. Among these assets is a significant stake in Tata Sons Pvt, where management is debating a potential public listing. The Mistry family, which controls SP Group, is the second-largest shareholder in Tata Sons with a stake of about 18.4%.

SP Group's latest fundraising plan emerged after the company borrowed approximately ₹4,450 crore ($467 million) in September through Eqyizen and dollar bonds issued by another subsidiary, Mercury Finance Co. These funds were used for amortization payments due to Porteast.

Sources reported that the group plans to complete the new financing by mid-November.
